Terms and Conditions
This "User Agreement" (hereinafter referred to as the "Agreement") is jointly concluded by Link For Care Limited (hereinafter referred to as "we") and the user (hereinafter referred to as "you"), clearly defining your rights and obligations in using the CareSIM website (including mobile applications and related services, collectively referred to as the "Services"). This Agreement becomes legally binding upon your access to or use of the Services. If you enter into this Agreement on behalf of an entity, you are deemed to have obtained full authorization and such entity shall be bound by this Agreement. If you do not agree to the terms of this Agreement, you must immediately cease using the Services.
Account and Membership
1. You confirm that you are at least 18 years old and have full legal capacity. If registering on behalf of an entity, you guarantee that you have obtained lawful authorization.
2. You are solely responsible for account security. All account operations will be deemed as your own actions. You must immediately notify us if any abnormal login or security vulnerabilities are detected.
3. We reserve the right to terminate accounts under the following circumstances: providing false information, violating the Agreement terms, or engaging in actions that harm our reputation. After account termination, you may be permanently prohibited from re-registering.
User Content
1. You assume full legal responsibility for all content (including data, information, materials, etc.) submitted through the Services, ensuring that it does not infringe third-party intellectual property rights and complies with laws and regulations.
2. We have the right (but not the obligation) to review user content and take measures such as deletion or restriction of dissemination against suspected non-compliant content.
3. You grant us a non-exclusive license to use, store, and display your content for the purpose of providing the Services.
Fees and Payment
1. After the free trial period ends, the Services will automatically renew at the then-effective fee standards. You may cancel auto-renewal at any time through account settings.
2. For high-risk transactions (determined solely by us), you must cooperate by providing valid identification documents and credit card statements for verification.
3. We reserve the right to adjust Service prices, reject orders, and impose quantity restrictions on abnormal purchasing behavior.
Information Accuracy
Service information (including prices, product descriptions, etc.) may contain typographical or technical errors. We reserve the right to correct errors and cancel erroneous orders, and have no obligation to proactively update information unless otherwise required by law.
Third-Party Services
Third-party products (including advertisements and linked resources) accessed through the Services are governed by their own terms. We expressly state:
1. We are not responsible for the content, data security, or transaction behavior of third-party services;
2. Disputes between users and third parties shall be resolved independently, and no claims may be asserted against us.
Data Backup
We will regularly back up Service data and strive to ensure backup integrity. In the event of data loss, we will prioritize restoration from the most recent available backup, but make no absolute guarantees regarding recovery results.
Advertising and Promotions
The Services may display third-party advertisements or promotional information. Any transactions you conduct with them are unrelated to us. It is recommended to verify third-party qualifications and terms before engaging in transactions.
Prohibited Actions
You shall not use the Services to engage in the following activities (including but not limited to):
(a) Conducting illegal activities or assisting others in illegal activities;
(b) Disseminating viruses, malicious code, or other destructive programs;
(c) Performing data scraping, phishing, or spam messaging;
(d) Infringing intellectual property rights or engaging in defamation or discriminatory behavior.
Violations will result in termination of Services and legal liability.
Intellectual Property Statement
1. All intellectual property rights in the Services, including trademarks, logos, source code, and designs, are owned by us or our licensors.
2. No individual or organization may copy, modify, or reverse engineer Service content without written permission.
3. This Agreement does not grant you any intellectual property license.
Mobile Application Specific Terms
The CareSIM App is an official application exclusively customized for the CareSIM Card. Any unauthorized reverse compilation, commercial use, or hardware modifications constitute breaches of this Agreement. Device damage or data loss resulting from such actions shall be solely borne by the perpetrator.
Disclaimer
The Services are provided "as-is." We make no warranties regarding their continuity, defect-free nature, or absolute security. We are exempt from liability for direct/indirect losses caused by the use of the Services (including data loss, profit loss, etc.) to the extent permitted by law.
Limitation of Liability
To the maximum extent permitted by applicable law:
1. Liability Exclusion: Link For Care Limited and its affiliates (including directors, employees, suppliers, etc.) shall not be liable for any indirect losses (including loss of profits, goodwill, data damage, etc.), whether based on contractual liability, tort liability, or other legal theories.
2. Liability Cap: Our aggregate liability shall not exceed the higher of:
(a) The total fees you actually paid for the Services in the past 1 month;
(b) 1 USD (or equivalent currency).
Indemnification
You shall fully indemnify us and our affiliates for all losses (including attorney fees) arising from third-party claims caused by:
1. Your uploaded content infringing others’ lawful rights;
2. Your breach of this Agreement in using the Services;
3. Your intentional misconduct such as fraud or system abuse.
Severability
If any provision of this Agreement is deemed invalid or unenforceable:
1. Such provision shall be adjusted to the minimum extent necessary to comply with legal requirements;
2. The remaining provisions shall continue in full force and effect.
Dispute Resolution
1. Governing Law: The interpretation and enforcement of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region (excluding conflict-of-law rules);
2. Jurisdiction: Both parties agree that Hong Kong courts shall have exclusive jurisdiction;
3. Arbitration First: Disputes shall first be resolved by arbitration at the Hong Kong International Arbitration Centre (HKIAC), and arbitral awards may be enforced by courts;
4. Class Action Waiver: You expressly waive the right to pursue claims through class actions.
Assignment of Rights and Obligations
1. User Restriction: You may not assign any rights or obligations under this Agreement without our prior written consent;
2. Our Rights: We reserve the right to assign rights and obligations under the following circumstances:
(a) Corporate merger, division, or asset sale;
(b) Transfer of entire business lines to affiliates.
Agreement Amendments
1. Amendment Right: We reserve the right to unilaterally amend the Agreement terms. Amended terms take effect upon publication on the Services platform;
2. Continued Use as Acceptance: If you continue using the Services for 15 days after amendment生效 without submitting written objections, you shall be deemed to have accepted the new terms.
Agreement Effectiveness
1. Electronic Agreement Validity: By clicking "Login" or actually using the Services, you acknowledge full acceptance of all terms herein;
2. Capacity Declaration: If entering this Agreement as a natural person, you confirm being at least 18 years old and having full legal capacity.
